Terms & Conditions

This Brand Agreement (this "Agreement") is entered into by and between Maum Market and the undersigned applicant ("Brand," "you," or "your") and sets out the terms and conditions governing Brand's application to, and participation in, any Maum Market pop-up, makers' market, or related event (each, an "Event"). By submitting a brand application, checking the acceptance box, or participating in an Event, Brand acknowledges that it has read, understands, and agrees to be bound by this Agreement, as well as any Event-specific rules, schedules, or directives communicated by Maum Market via email.

1. Application & Acceptance

Submitting an application does not guarantee a spot. Maum Market is a curated marketplace, and each Event is juried by our team. Applications are reviewed and accepted on a rolling basis. Brand will be notified of acceptance, waitlist status, or non-selection by email. A separate application is required for each Event, even for brands who have participated in prior Maum Market events. If Brand is not selected, Brand may contact info@maum.market to request feedback on its application.

2. Eligibility & Curatorial Standards

Maum Market exists to celebrate Asian makers and the broader AAPI small-business community. Each Event's brand mix is curated to reflect this mission and to maintain a balanced, high-quality selection of goods. Brand represents that the products it intends to sell are accurately described in its application, including all photos, descriptions, and pricing. Products must be original, handmade, independently designed, or thoughtfully curated by the Brand. Maum Market does not accept the resale of mass-produced goods, drop-shipped products, or multi-level marketing (MLM) offerings. To maintain a balanced market, Maum Market limits the number of brands per product category (e.g., ceramics, jewelry, stationery, beauty, food) at its sole discretion. Certain categories may be excluded from a specific Event due to venue or sponsor exclusivity arrangements (for example, a tenant exclusivity may preclude certain food or beverage categories). Brand will be notified if this affects its application. Any new products the Brand wishes to sell at an Event must fall within the categories and descriptions submitted in its application. Material changes to the Brand's product line require advance written approval from Maum Market.

3. Fees & Payment

A non-refundable registration fee of $300 per Event is due upon submission or upon acceptance, as specified in the applicable Event's application. Brand is responsible for this fee even if Brand later withdraws or does not attend. All fees are quoted and payable in U.S. dollars via the payment method specified on the application platform. Except as expressly provided in Section 9 (Refund Policy), deposits and fees are non-refundable, including in the event of low attendance, inclement weather (where the Event proceeds as scheduled), or Brand's voluntary withdrawal.

4. Booth & Table Assignments

Maum Market reserves the right to assign and reassign Brand's table or booth location within the Event as it deems appropriate. Maum Market does not guarantee specific spot requests and cannot guarantee that an assigned space will be free of structural, architectural, or sightline obstructions. Depending on the Event, Brand may be paired with another maker to share an 8-foot table (approximately 48" x 30" of surface area per Brand) or may be allotted an individual space, as described in the Event-specific application materials. At select Events, Maum Market provides a table, tablecloth, and umbrella as part of a white-glove setup. Brand remains responsible for bringing its own signage, display fixtures, and decor to define and merchandise its space, and for any additional rack or table (within Event-specified size limits) it wishes to bring. Brand may not sublet, share (beyond an assigned pairing), or transfer its assigned space to another individual or business without Maum Market's prior written consent. Brands requiring electricity, water, or any health department permitting for their booth are responsible for coordinating and paying for these arrangements directly with the venue or relevant third party.

5. Brand Conduct & Event Standards

Brand and its staff, employees, and representatives agree to act professionally and courteously toward attendees, fellow brands, venue staff, and Maum Market team members at all times. Brand agrees to read, follow, and abide by all Event-day rules, load-in/load-out schedules, and directives communicated by Maum Market, including those sent by email to the address provided on Brand's application. Maum Market reserves the right, in its sole judgment, to decline, prohibit, or remove any Brand, product, display, or conduct that is out of keeping with the character and mission of the Event, or that endangers the venue, attendees, other brands, or any third party. No refund will be issued in connection with such removal. Brand booths and displays remain staffed by Brand (or its authorized representative) for the full duration of the Event, including published setup and breakdown windows.

6. Legal Compliance

Brand is solely responsible for obtaining and maintaining any business licenses, seller's permits, health permits (including cottage-food certification where applicable), and any other approvals required to sell its goods at the Event. Brand will comply with all applicable federal, state, and local laws, rules, and regulations relating to its products and Event activities, including those governing labeling, food handling, product safety, and intellectual property. Maum Market assumes no liability for, and offers no guidance regarding, the specific laws or regulations applicable to Brand's goods or services.

7. Insurance & Indemnification

Brand agrees to indemnify, defend, and hold harmless Maum Market and its officers, employees, contractors, affiliates, and the venue (collectively, "Maum Parties") from and against any and all claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to Brand's products, acts, omissions, or participation in the Event, including any breach of this Agreement or violation of applicable law.

8. Cancellation & Inclement Weather

All application fees, deposits, and table/booth fees are non-refundable once paid, except as set out in Section 9 (Refund Policy). Late cancellations and no-shows may affect Brand's standing for future Maum Market events. Outdoor Events are held rain or shine unless Maum Market cancels the Event due to safety concerns. Maum Market does not guarantee any particular level of attendance and is not responsible for the impact of weather, venue conditions, or attendance on the Brand's sales.

9. Refund Policy

This Section 9 governs all refund requests and controls in the event of any inconsistency with Sections 3 or 8.

Non-refundable circumstances. Registration fees, deposits, and booth/table fees are non-refundable, in whole or in part, where the request arises from any of the following:

•     Change of mind. Brand no longer wishes to participate.

•     Scheduling conflict. Brand has a competing commitment, event, or personal obligation on the Event date.

•     Accidental registration. Brand registered for an Event in error, registered for the wrong Event, or did not intend to complete the application.

•     Brand can no longer participate. Brand is unable to attend for any reason, including illness, travel, staffing, or transportation issues.

•     Brand's business circumstances change. Including closure, pause, rebranding, relocation, change in product line, inventory shortfall, or financial hardship.

In each of the above cases, Brand remains responsible for the full fee even if Brand withdraws in advance or does not attend, and no credit toward a future Event will be issued.

Refundable circumstances. Maum Market will refund fees paid in the following circumstances:

•     Duplicate payment. Brand was charged more than once for the same Event registration. The excess amount will be refunded in full.

•     Organizer error. Maum Market charged an incorrect amount, billed Brand for the wrong Event, or processed a registration in error.

•     Market cancellation by us. Maum Market cancels the Event in its entirety. Brand will receive a full refund of fees paid or, at Brand's election, a credit toward a future Event. Where the cancellation results from a Force Majeure Event, Section 14 applies.

•     Material change to the Event that substantially affects Brand's participation. Including a change to the Event date, a change to the city or venue, a substantial reduction in Event hours, or the exclusion of Brand's product category after acceptance. Brand must notify Maum Market of its intent to withdraw and request a refund within [X] days of Maum Market's notice of the change; a Brand who participates in the modified Event is deemed to have accepted the change.

Requesting a refund. Brand should email info@maum.market with its business name, the applicable Event, and the date and amount of payment. Approved refunds are issued to the original payment method within [X] business days of approval. [Optional: Maum Market may deduct non-recoverable third-party payment processing fees from refunds issued under this Section, other than refunds arising from duplicate payment or organizer error.] Nothing in this Section entitles Brand to a refund where Brand is removed from or denied participation in an Event under Section 5 (Brand Conduct & Event Standards) or Section 11 (Termination).

10. Loyalty Stamps

Maum Market may operate a loyalty stamp program recognizing Brand's ongoing participation in Maum Market Events. Stamps are issued virtually and credited to the Maum Market brand account associated with the Brand.

Account requirement. To be eligible to receive stamps, Brand must create and activate a Maum Market brand account by the deadline stated in the applicable Event's application materials or otherwise communicated by Maum Market via email no later than 7 days after the Event date. Stamps are credited only to a Brand account that is active as of the date of issuance, and only to the account associated with the accepted application. Stamps cannot be credited retroactively to an account created after the applicable deadline.

Timing of issuance. Stamps are applied only after an Event has concluded. No stamps are issued or applied before or during an Event, and no stamp is earned or vested at the time of application, acceptance, or payment. Stamps are credited to Brand's account following the close of the Event and Maum Market's post-Event reconciliation, and are issued only to Brands who attended and completed the Event in accordance with this Agreement, including the setup, staffing, and breakdown requirements in Section 5.

Forfeiture. Failure to create an account by the applicable deadline, failure to maintain an active account, or failure to otherwise abide by the requirements of this Section or this Agreement may result in the forfeiture of stamps for the applicable Event, at Maum Market's sole discretion. Stamps may also be forfeited where Brand is removed from an Event under Section 5, where Brand no-shows or withdraws, or where this Agreement is terminated under Section 11. Forfeited stamps are not reissued, restored, credited, or exchanged for cash, and forfeiture of stamps does not entitle Brand to any refund.

No cash value. Stamps are a promotional benefit only. They have no cash value, are not property, are not transferable or assignable between accounts, businesses, or individuals, and may not be sold, purchased, or combined with another Brand's stamps. Maum Market may set, modify, suspend, or discontinue the stamp program, including the number of stamps issued per Event, any redemption thresholds or rewards, and any expiration period, at its discretion and with notice to Brand by email. Maum Market's records are the final and controlling record of a Brand's stamp balance.

11. Termination

Termination for Convenience: This Agreement, and Brand's participation in a given Event, may be terminated by Maum Market at any time, with or without cause, upon notice to Brand. Termination for Default: Either party may terminate this Agreement immediately upon notice to the other party in the event of a material breach or default of any term of this Agreement by the other party. Upon termination, Brand forfeits any fees paid and must promptly vacate its assigned space if termination occurs on-site.

12. Marketing, Photography & Use of Likeness

Brand grants Maum Market a royalty-free, worldwide license to photograph, film, and otherwise capture Brand's booth, products, and staff at the Event, and to use Brand's business name, logo, product images, and event photography in Maum Market's marketing, social media, press, and promotional materials, both online and in print. Maum Market may also feature Brand in pre- and post-Event brand highlights.

13. Limitation of Liability

Maum Market is not responsible for any loss, theft, or damage to Brand's products, equipment, or personal property before, during, or after the Event. Brand participates at its own risk. Maum Market makes no representation or guarantee regarding the level of attendance, foot traffic, or sales Brand may achieve at any Event.

14. Force Majeure

Neither party will be liable for any failure or delay in performance under this Agreement resulting from causes beyond its reasonable control, including acts of God, natural disaster, fire, government order, public health emergency, labor dispute, or venue unavailability. If an Event is canceled due to such causes, Maum Market will determine, in its discretion, whether and to what extent any fees may be credited toward a future Event or refunded.

15. General Provisions

Entire Agreement: This Agreement, together with any Event-specific rules, memos, or directives provided to Brand, constitutes the entire agreement between the parties regarding Brand's participation in the Event, and supersedes all prior discussions or understandings on the subject. Amendments: Maum Market may update or modify the terms of this Agreement from time to time. Material changes will be communicated to Brand via email at the address provided on its application. Severability: If any provision of this Agreement is found unlawful or unenforceable, that provision will be severed and the remainder of the Agreement will remain in full force and effect. No Waiver: Any delay or failure by Maum Market to exercise a right under this Agreement is not a waiver of that right. Non-Exclusivity: This Agreement is non-exclusive. Maum Market may contract with other brands, including those offering similar products, at its discretion.

Governing Law: This Agreement is governed by the laws of the State of California, without regard to conflict-of-law principles.
