VENDOR TERMS & CONDITIONS

This Vendor Agreement (this “Agreement”) is entered into by and between MAUM Market and the undersigned applicant (“Vendor,” “you,” or “your”) and sets out the terms and conditions governing Vendor’s application to, and participation in, any MAUM Market pop-up, makers’ market, or related event (each, an “Event”). By submitting a vendor application, checking the acceptance box, or participating in an Event, Vendor acknowledges that it has read, understands, and agrees to be bound by this Agreement, as well as any Event-specific rules, schedules, or directives communicated by MAUM Market via email.

1. Application & Acceptance

Submitting an application does not guarantee a spot. MAUM Market is a curated marketplace, and each Event is juried by our team. Applications are reviewed and accepted on a rolling basis. Vendor will be notified of acceptance, waitlist status, or non-selection by email. A separate application is required for each Event, even for vendors who have participated in prior MAUM Market events. If Vendor is not selected, Vendor may contact info@maum.market to request feedback on its application.

2. Eligibility & Curatorial Standards

MAUM Market exists to celebrate Asian makers and the broader AAPI small-business community. Each Event’s vendor mix is curated to reflect this mission and to maintain a balanced, high-quality selection of goods. Vendor represents that the products it intends to sell are accurately described in its application, including all photos, descriptions, and pricing. Products must be original, handmade, independently designed, or thoughtfully curated by the Vendor. MAUM Market does not accept the resale of mass-produced goods, drop-shipped products, or multi-level marketing (MLM) offerings. To maintain a balanced market, MAUM Market limits the number of vendors per product category (e.g., ceramics, jewelry, stationery, beauty, food) at its sole discretion. Certain categories may be excluded from a specific Event due to venue or sponsor exclusivity arrangements (for example, a tenant exclusivity may preclude certain food or beverage categories). Vendor will be notified if this affects its application. Any new products the Vendor wishes to sell at an Event must fall within the categories and descriptions submitted in its application. Material changes to the Vendor’s product line require advance written approval from MAUM Market.

3. Fees & Payment

A non-refundable registration fee of $300 per Event is due upon submission or upon acceptance, as specified in the applicable Event’s application. Vendor is responsible for this fee even if Vendor later withdraws or does not attend. All fees are quoted and payable in U.S. dollars via the payment method specified on the application platform. Deposits and fees are non-refundable, including in the event of low attendance, inclement weather (where the Event proceeds as scheduled), or Vendor’s voluntary withdrawal.

4. Booth & Table Assignments

MAUM Market reserves the right to assign and reassign Vendor’s table or booth location within the Event as it deems appropriate. MAUM Market does not guarantee specific spot requests and cannot guarantee that an assigned space will be free of structural, architectural, or sightline obstructions. Depending on the Event, Vendor may be paired with another maker to share an 8-foot table (approximately 48” x 30” of surface area per Vendor) or may be allotted an individual space, as described in the Event-specific application materials. At select Events, MAUM Market provides a table, tablecloth, and umbrella as part of a white-glove setup. Vendor remains responsible for bringing its own signage, display fixtures, and decor to define and merchandise its space, and for any additional rack or table (within Event-specified size limits) it wishes to bring. Vendor may not sublet, share (beyond an assigned pairing), or transfer its assigned space to another individual or business without MAUM Market’s prior written consent. Vendors requiring electricity, water, or any health department permitting for their booth are responsible for coordinating and paying for these arrangements directly with the venue or relevant third party.

5. Vendor Conduct & Event Standards

Vendor and its staff, employees, and representatives agree to act professionally and courteously toward attendees, fellow vendors, venue staff, and MAUM Market team members at all times. Vendor agrees to read, follow, and abide by all Event-day rules, load-in/load-out schedules, and directives communicated by MAUM Market, including those sent by email to the address provided on Vendor’s application. MAUM Market reserves the right, in its sole judgment, to decline, prohibit, or remove any Vendor, product, display, or conduct that is out of keeping with the character and mission of the Event, or that endangers the venue, attendees, other vendors, or any third party. No refund will be issued in connection with such removal. Vendor booths and displays remain staffed by Vendor (or its authorized representative) for the full duration of the Event, including published setup and breakdown windows.

6. Legal Compliance

Vendor is solely responsible for obtaining and maintaining any business licenses, seller’s permits, health permits (including cottage-food certification where applicable), and any other approvals required to sell its goods at the Event. Vendor will comply with all applicable federal, state, and local laws, rules, and regulations relating to its products and Event activities, including those governing labeling, food handling, product safety, and intellectual property. MAUM Market assumes no liability for, and offers no guidance regarding, the specific laws or regulations applicable to Vendor’s goods or services.

7. Insurance & Indemnification

Vendor agrees to indemnify, defend, and hold harmless MAUM Market and its officers, employees, contractors, affiliates, and the venue (collectively, “MAUM Parties”) from and against any and all claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to Vendor’s products, acts, omissions, or participation in the Event, including any breach of this Agreement or violation of applicable law.

8. Cancellation, Refunds & Inclement Weather

All application fees, deposits, and table/booth fees are non-refundable once paid, except where MAUM Market cancels an Event in its entirety. Late cancellations and no-shows may affect Vendor’s standing for future MAUM Market events. Outdoor Events are held rain or shine unless MAUM Market cancels the Event due to safety concerns. MAUM Market does not guarantee any particular level of attendance and is not responsible for the impact of weather, venue conditions, or attendance on the Vendor’s sales.

9. Termination

Termination for Convenience: This Agreement, and Vendor’s participation in a given Event, may be terminated by MAUM Market at any time, with or without cause, upon notice to Vendor. Termination for Default: Either party may terminate this Agreement immediately upon notice to the other party in the event of a material breach or default of any term of this Agreement by the other party. Upon termination, Vendor forfeits any fees paid and must promptly vacate its assigned space if termination occurs on-site.

10. Marketing, Photography & Use of Likeness

Vendor grants MAUM Market a royalty-free, worldwide license to photograph, film, and otherwise capture Vendor’s booth, products, and staff at the Event, and to use Vendor’s business name, logo, product images, and event photography in MAUM Market’s marketing, social media, press, and promotional materials, both online and in print. MAUM Market may also feature Vendor in pre- and post-Event vendor highlights.

11. Limitation of Liability

MAUM Market is not responsible for any loss, theft, or damage to Vendor’s products, equipment, or personal property before, during, or after the Event. Vendor participates at its own risk. MAUM Market makes no representation or guarantee regarding the level of attendance, foot traffic, or sales Vendor may achieve at any Event.

12. Force Majeure

Neither party will be liable for any failure or delay in performance under this Agreement resulting from causes beyond its reasonable control, including acts of God, natural disaster, fire, government order, public health emergency, labor dispute, or venue unavailability. If an Event is canceled due to such causes, MAUM Market will determine, in its discretion, whether and to what extent any fees may be credited toward a future Event.

13. General Provisions

Entire Agreement: This Agreement, together with any Event-specific rules, memos, or directives provided to Vendor, constitutes the entire agreement between the parties regarding Vendor’s participation in the Event, and supersedes all prior discussions or understandings on the subject. Amendments: MAUM Market may update or modify the terms of this Agreement from time to time. Material changes will be communicated to Vendor via email at the address provided on its application. Severability: If any provision of this Agreement is found unlawful or unenforceable, that provision will be severed and the remainder of the Agreement will remain in full force and effect. No Waiver: Any delay or failure by MAUM Market to exercise a right under this Agreement is not a waiver of that right. Non-Exclusivity: This Agreement is non-exclusive. MAUM Market may contract with other vendors, including those offering similar products, at its discretion.

Governing Law: This Agreement is governed by the laws of the State of California, without regard to conflict-of-law principles.
